Yosubi Terms of Service
Effective date: November 1, 2026
1. Acceptance of these Terms
These Terms of Service (“Terms”) are an agreement between you and Yosubi, Inc., doing business as Yosubi (“Yosubi,” “we,” “us”). They govern your use of yosubi.com, the Yosubi web application, and related messaging, email and SMS channels (together, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you use the Service for a company, you confirm you have authority to bind it, and “you” means that company.
These Terms apply to four kinds of users:
- Property Managers — property managers, owners and owner-investors who request maintenance work (“PMs”).
- Vendors — contractors, trades and service businesses who accept and perform work orders.
- Tenants — residents who use Yosubi’s troubleshooting tools for a property their PM manages.
- Referral Partners — people enrolled in the Revenue Share Program.
2. The Service
Yosubi is a maintenance workflow platform and marketplace. It helps PMs turn maintenance requests into structured work orders and dispatch them to their own team or to independent Vendors in the Yosubi network.
The Service includes: AI-guided chat intake, tenant troubleshooting that routes issues needing a repair to the tenant’s PM, structured work orders (“tickets”), prices set by Yosubi before work begins, dispatch to Vendors, recurring work schedules, change orders, a moderated message thread per work order, payment held until the PM approves completed work, and payouts to Vendors.
Yosubi is not a contractor. Vendors are independent businesses, not Yosubi employees or agents. The Vendor, not Yosubi, performs the work and is responsible for its quality, safety, permits and compliance with law. Yosubi does not supervise or direct how work is performed.
Features change over time. Roadmap items described on our website (for example, integrations or AI-generated scopes and pricing) are not commitments until released.
3. Accounts and Eligibility
You must be at least 18 and able to form a binding contract. PMs, Vendors and Referral Partners use the Service for business purposes in the United States.
Tenants. Tenants may use Yosubi’s troubleshooting tools for a property their PM manages. If an issue needs a repair, Yosubi sends it to the tenant’s PM, who decides whether and how to dispatch work. Yosubi is not your landlord or property manager, does not schedule or pay for repairs on a tenant’s behalf, and does not change your lease or your PM’s obligations. Tenants pay nothing to Yosubi. Follow troubleshooting steps only if you can do so safely.
You may sign in with email or a third-party provider such as Google. Keep your login secure and your information (name, business, address, phone, payment details) accurate. You are responsible for activity under your account and must tell us promptly about unauthorized use.
Vendor onboarding. Vendors must provide accurate business information, a completed IRS Form W-9, and proof of current insurance. Yosubi may also verify insurance and state and federal business registration, and may require more documents. Vendors must keep required licenses and insurance current and tell us if they lapse. Our review relies on what Vendors submit. It is not a guarantee of any Vendor’s qualifications, licensing, conduct or work.
Deleting your account. You can delete your account from your settings. We delete or anonymize your personal data, except records we must keep for payments, tax, disputes, fraud prevention or legal compliance.
4. Pricing, Fees, Payments and Cancellation
Creating an account is free. Yosubi earns fees on completed transactions:
| Fee | Who pays | Amount |
|---|---|---|
| Yosubi service fee | PM | 12% of the job price |
| Payment processing fee | PM | Passed through at cost, currently Stripe’s 2.9% + $0.30, grossed up on the total charge |
| Sales tax | PM | As calculated for your address, where applicable |
| Stripe payout processing fee | Vendor, only if paid through Stripe | 3% of the job price, deducted from payout |
| PM cancellation fee | PM | Greater of 3% of the job price or $50, once payment has been taken |
Pricing. Yosubi reviews each work order and sets its price. The PM sees the price and an itemized total before being charged. Vendors see the price before accepting; by accepting, a Vendor agrees to do the work for that price. We may change fees with at least 30 days’ notice; changes do not apply to work orders already accepted.
When you are charged. PMs keep a card on file. The card is charged when a Vendor accepts the work order (including each cycle of a recurring schedule), or at checkout where shown. Change orders are priced and paid separately before the added work proceeds.
Held until approval. Funds are held until the Vendor marks the work complete with proof (such as photos) and the PM approves it. Approval releases payment to the Vendor. If the PM neither approves nor raises an issue with support within 7 days after the work is submitted, the work is automatically approved and payment is released.
Cancellation and refunds. A PM may cancel any time before the Vendor submits completed work. Cancelling before payment is free. After payment, you are refunded what you paid minus processing fees and the cancellation fee above. Once work is submitted for approval, you approve or dispute rather than cancel. Approved work is not refundable through Yosubi.
Recurring schedules. A recurring job that no Vendor accepts is cancelled at no charge and reissued. After repeated unfilled cycles, the schedule pauses and we notify you.
Payments processor. PM payments run through Stripe, and Vendors who choose Stripe payouts use a Stripe Connect Express account. You also agree to Stripe’s terms. Yosubi acts as the Vendor’s limited agent to collect payment; a PM’s payment to Yosubi counts as payment to the Vendor.
Vendor payouts and taxes. After approval, Vendors are paid the job price by their chosen method: through Stripe, less the 3% payout processing fee, or by ACH or check with no processing fee. ACH and check payouts may take longer. We do not guarantee payout timing or job volume. Vendors are responsible for their own taxes, and Yosubi may issue tax forms (such as Form 1099) based on the W-9 provided.
No off-platform payment. Paying or accepting payment outside Yosubi for work found through Yosubi, including follow-up work with the same party for 12 months, is prohibited (Section 7).
5. Your Content, Messages and Communications
Your content. You keep ownership of what you submit: requests, descriptions, addresses, photos, documents and messages (“Your Content”). You give Yosubi a non-exclusive, worldwide, royalty-free license to host, use, copy and process Your Content to operate, secure and improve the Service, and to share it with the other party on a work order. You confirm you have the rights to submit it, including any tenant information and property access details.
Moderated messages. Messages between PMs and Vendors are screened by automated tools and, when needed, by Yosubi staff before delivery. We may delay, block or remove messages that break Section 7, and we may review threads to resolve disputes. Do not treat the thread as private from Yosubi.
Email, SMS and WhatsApp. We send service messages about your work orders, payments and account by email and, if you opt in, by SMS or WhatsApp. Message and data rates may apply. Reply STOP to opt out of SMS; reply HELP for help. Marketing texts need your separate consent, which is not a condition of purchase. See our Privacy Policy.
Privacy. Our Privacy Policy explains how we collect, use and share personal information. Service providers we use include Stripe (payments), cloud hosting and database providers, email and SMS delivery providers, and AI model providers.
6. AI Features
The Service uses artificial intelligence, including third-party AI models, to run chat intake, structure work orders, suggest trades and scope, screen messages and assist support. Your inputs are sent to those providers to generate responses.
AI output can be wrong or incomplete. It is not professional, engineering, legal, safety or code-compliance advice. Review work orders and scope before you confirm them; you are responsible for what you submit and approve. Tenant troubleshooting suggestions are general guidance only: stop if a step seems unsafe and contact your PM. AI does not diagnose hazards. For emergencies such as gas leaks, fire, flooding or electrical danger, call 911 or the utility first.
Any price shown is an estimate until the work order is confirmed and accepted. Yosubi does not guarantee that a price is the lowest available or matches any market rate.
7. Acceptable Use and Vendor Standards
You agree not to:
- Share or request contact details (phone, email, social handles, websites) to move a job off Yosubi, including in disguised form
- Arrange payment outside Yosubi (cash, Venmo, Zelle, CashApp, checks, direct invoices) or offer discounts for doing so
- Threaten, harass, or make discriminatory remarks to anyone, or send slurs, sexual content or abuse
- Send spam, unrelated advertising or recruiting
- Submit false requests, prices, photos, completion proof, insurance or license information
- Access another user’s data, probe or disrupt the Service, scrape it, or use bots without our permission
- Use the Service for anything unlawful, including unlicensed work where a license is required
Vendor reliability. A Vendor who accepts a work order commits to perform it. Dropping a job with less than 72 hours’ notice, abandoning it, or not showing up earns a strike. Strikes count for 90 days. If a Vendor’s strikes reach the threshold, the Vendor cannot accept new jobs until strikes expire or are cleared. Vendors may contact support to contest a strike.
Enforcement. We may block messages, hold payments under review, remove listings, suspend or close accounts for violations. For payment circumvention, we may also charge the fees Yosubi would have earned.
8. Revenue Share Program
Referral Partners earn 30% of Yosubi’s net earnings from the PM service fee on transactions completed by a business they referred, for that business’s first 12 months on Yosubi. “Net earnings” means the 12% PM service fee Yosubi collects on a completed transaction, minus refunds, chargebacks and taxes. Vendor payout processing fees are not included. A referral counts only if the new user names you during onboarding. Self-referrals and referrals of existing users do not qualify. Earnings are paid monthly for the prior month’s completed transactions, and we may require a W-9 before paying. We may change or end the program with notice; earnings already accrued will be paid.
9. Intellectual Property and Feedback
Yosubi owns the Service, its software, design, AI prompts, brand and content, other than Your Content. We grant you a limited, revocable, non-transferable right to use the Service under these Terms. Do not copy, reverse engineer or resell it. If you send feedback or ideas, we may use them without obligation to you.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT ALLOWED BY LAW, YOSUBI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. YOSUBI DOES NOT WARRANT THE QUALITY, SAFETY, TIMING OR LEGALITY OF ANY VENDOR’S WORK, THE ACCURACY OF AI OUTPUT OR ANY PRICE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. CLAIMS ABOUT THE WORK ITSELF ARE BETWEEN THE PM AND THE VENDOR.
11. Limitation of Liability
TO THE EXTENT ALLOWED BY LAW, YOSUBI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA OR PROPERTY DAMAGE ARISING FROM A VENDOR’S WORK. YOSUBI’S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (A) THE FEES YOSUBI EARNED FROM YOU IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.
12. Indemnity
You will defend and indemnify Yosubi and its officers, employees and agents against claims, losses and costs (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, your breach of these Terms or the law, or, for Vendors, the work you perform, including injury, property damage and permit or licensing violations.
13. Disputes Between Users
If a PM and Vendor disagree about work, the PM must contact support through the help bubble in the app within 7 days after the work is submitted, before approving. Yosubi may review the work order, messages and photos and may decide how held funds are released or refunded. Our decision on held funds is final as to Yosubi but does not limit claims between the PM and Vendor. Yosubi is a marketplace and is not responsible for the work itself.
14. Suspension and Termination
You may stop using the Service or delete your account at any time. We may suspend or end your access if you break these Terms, create risk or legal exposure, or if required by law. Open work orders, held funds and fees owed survive termination, as do Sections 4 (amounts owed), 5, 9 through 13 and 15.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-law rules.
Informal resolution first. Before starting arbitration, send a written description of your claim to support@yosubi.com. Both sides will try to resolve it in good faith for 30 days.
Binding arbitration. Any dispute between you and Yosubi arising from these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Hearings will be held by video or, if a party requests one in person, in the county where you live or your business is located. The arbitrator’s decision may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court, or seek an injunction in court to protect intellectual property or stop misuse of the Service.
Class-action waiver. You and Yosubi may bring claims only individually, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not consolidate claims or award class-wide relief. If this waiver is found unenforceable for a claim, that claim goes to the state or federal courts in Delaware, and the arbitration agreement still applies to all other claims.
Opting out. You may opt out of arbitration by emailing support@yosubi.com within 30 days after you first accept these Terms. Opting out does not affect the rest of these Terms.
16. Changes to These Terms
We may update these Terms. We will post the new version with a revised effective date and, for material changes, notify you by email or in the app at least 30 days in advance. Continuing to use the Service after the effective date means you accept the update.
17. General
These Terms, the Privacy Policy and any terms shown at checkout are the entire agreement. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
